By a written sale agreement, the respondents and their company agreed to sell six parcels of land to the appellant and to take a leaseback of part on completion. The sale was conditional on planning permission being obtained for development. The purchase price of £4.5m, to be paid in instalments, was later varied by a written supplemental agreement, which provided for a reduction to £3.8m and for changes to the various instalments accordingly. Planning permission was subsequently obtained, the sale was completed and the leaseback was effected, and all instalments of the purchase price were paid.
