The respondent engaged the services of the appellant estate agent to sell a property on Brompton Road, London SW5, in return for a commission of 2% of the selling price, plus VAT. The contract between the parties was described as a “sole agency agreement” for a period of six weeks. Under the heading “Sole Agency”, it stated that the respondent would be liable to pay “remuneration” to the appellant if, inter alia, unconditional contracts were exchanged on a sale to a purchaser introduced by the respondent, or with whom the appellant had had negotiations about the property, during the period of the sole agency. That statement was partly in the terms required by para 5 of, and para (b) of the schedule to, the Estate Agents (Provision of Information) Regulations 1991 in cases where the term “sole agency” was used; but it omitted any reference to remuneration being payable in the event of a sale to a purchaser introduced by another agent during the sole agency period.

The appellant introduced three potential purchasers, one of which offered the full asking price of £2.85m. The respondent did not proceed with any of those offers but instead sold to another buyer for £2.95m and paid commission to a different estate agent on that sale.
