Harrow-based Sinclair Montrose Properties is suing two former directors in a £150,000 claim for breach of fiduciary duty and assisting in that breach.
The claimant, which specialises in the purchase and development of properties for healthcare, leisure and education, contends that Jonathan Bowles failed to inform it of an opportunity to buy three properties, instead diverting the purchase to another company, Watershore Ltd.
In addition, it alleges that Bowles and his wife, director Hazel Graham, sold a property in Arbroath, Scotland, to Watershore at an undervalue, and failed to tell other directors of their conflict of interest.
The company is also suing Watershore, together with a second company, Tylney Hall Ltd.
