Boots and Alliance UniChem plan to complete their merger through a scheme of arrangement to save money for shareholders, Richard Baker, chief executive of Boots, says.
Shareholders will vote on the agreement at an extraordinary meeting in early July.
The merger will result in a chain of more than 2,500 stores and a wholesale business serving 88,000 chemists across 11 countries.
