Ferrovial has sold World Duty Free Europe for £544m including debts to Autogrill.
BAA, which Ferrovial owns, has granted the new Italian owner a 12-year concession to operate shops at the seven UK airports.
The sale, which fetched more than expected, is part of a wider disposal programme including the planned offloading of BAA’s property joint venture.
