GVA Grimley will convert to a limited liability partnership from 1 May.
It coincides with Bob Barnett formally taking over as chief executive officer from Michael Corbett, who becomes executive chairman.
The £93m business has 175 partners, including 63 equity partners, and the switch will limit their liability in legal action.
