Iceland is threatening to sue its former chairman Malcolm Walker who is reported to be setting up a rival frozen food chain called Frozen Out.
Walker is said to have teamed up with his former finance director, Andrew Pritchard, to open the first outlet in Wrexham, North Wales next month.
Iceland said it had a two-year non-compete clause in a contract with Walker.
