Marconi is unlikely to build a new £200m headquarters at Ansty, West Midlands.
The 48.56ha (120 acres) earmarked for the project is still grassed.
If Marconi reneges on the deal it is doubtful whether Ansty will still qualify for the £25m government grant towards the project.
Marconi may also sell assets in a bid to cut its £4.4bn debt. Such a move would raise up to £1.2bn.
